These Terms govern your access to and use of the Metro InHouse Vendor Portal. By using the Services, you agree to be legally bound by them.
Eligibility
To use the Services, you represent and warrant that:
- You are at least eighteen (18) years of age.
- You have the legal authority to bind yourself or the business you represent.
- Your business is legally registered where required by applicable law.
- All information provided during registration is accurate and complete.
- Your use of the Platform complies with all applicable federal, state, and local laws.
Metro InHouse reserves the right to refuse registration or terminate access if these requirements are not satisfied.
About Metro InHouse
Metro InHouse provides an online procurement platform that enables hotels and property managers to publish supply and maintenance requests while allowing qualified vendors to submit competitive bids.
Metro InHouse is not:
- the seller of products,
- the provider of maintenance services,
- the employer of vendors,
- the contractor for awarded work, or
- a party to contracts entered into between hotels and vendors unless expressly stated otherwise.
Metro InHouse acts solely as a technology platform facilitating communication and procurement.
Account Registration
Users must create an account before accessing vendor features.
During registration, you agree to provide accurate, current, and complete information including, where applicable:
- Business name
- Contact information
- Business registration details
- Tax information
- Insurance information
- Service categories
- Authorized representatives
You agree to keep this information current.
Account Security
You are solely responsible for:
- maintaining the confidentiality of your login credentials;
- restricting access to your account;
- all activities occurring under your account; and
- notifying Metro InHouse immediately of any suspected unauthorized access.
Metro InHouse is not responsible for losses resulting from unauthorized use caused by your failure to protect your account credentials.
Vendor Verification
Metro InHouse may require verification before granting access to bidding opportunities.
Verification may include:
- business license validation;
- tax identification verification;
- insurance verification;
- identity verification;
- professional certifications; and
- other documentation reasonably requested.
Verification does not constitute endorsement or guarantee of a vendor's services.
Vendor Responsibilities
Vendors agree to:
- submit truthful and accurate bids;
- honor pricing submitted through the Platform;
- perform awarded work professionally;
- maintain required licenses and insurance;
- comply with applicable laws and regulations;
- communicate professionally with property managers;
- maintain accurate business information; and
- promptly update expired certifications or licenses.
Property Manager Responsibilities
Property managers agree to:
- publish accurate request details;
- evaluate bids fairly;
- communicate professionally;
- provide sufficient project information;
- comply with applicable procurement laws; and
- honor contractual obligations entered into with vendors.
Bid Submission
Vendors may submit bids only through authorized Platform features.
Each bid should accurately include:
- proposed pricing;
- estimated completion time;
- assumptions;
- exclusions;
- supporting documentation; and
- any applicable warranties.
Metro InHouse may establish deadlines after which bids cannot be modified.
Bid Awards
Property managers retain sole discretion regarding:
- vendor selection;
- evaluation criteria;
- project cancellation;
- bid rejection;
- award timing.
Metro InHouse does not guarantee that:
- any bid will be accepted;
- any project will be awarded;
- vendors will receive work; or
- property managers will select the lowest bid.
No Guarantee of Business
Registration on the Platform does not guarantee:
- invitations to bid;
- project awards;
- minimum revenue;
- future business opportunities; or
- continued access to procurement requests.
Business opportunities depend entirely upon customer activity and procurement decisions.
Pricing
Vendors are responsible for ensuring that submitted pricing is:
- accurate;
- complete;
- lawful;
- free from typographical errors; and
- inclusive of all costs unless otherwise disclosed.
Property managers are responsible for independently evaluating submitted pricing.
Communications
Users agree that Metro InHouse may communicate through:
- email;
- in-platform notifications;
- SMS (where consent has been provided);
- customer support communications; and
- service announcements.
Operational notices are considered part of the Services and cannot always be opted out of.
Acceptable Use
Users agree not to:
- submit false information;
- impersonate another individual or business;
- interfere with platform operations;
- attempt unauthorized access;
- upload malicious software;
- harvest user information;
- circumvent platform security;
- manipulate bidding processes;
- submit fraudulent bids;
- violate intellectual property rights;
- use automated bots without written authorization; or
- engage in illegal or deceptive practices.
Violation of these Terms may result in immediate suspension or termination.
Intellectual Property
All intellectual property associated with the Platform, including but not limited to:
- software;
- source code;
- interface designs;
- trademarks;
- logos;
- graphics;
- documentation;
- databases; and
- content,
remain the exclusive property of Metro InHouse or its licensors. Nothing in these Terms transfers ownership of intellectual property to users.
User Content
Users retain ownership of content they upload.
By submitting information through the Platform, you grant Metro InHouse a worldwide, non-exclusive, royalty-free license to host, process, store, display, and transmit such content solely for operating and improving the Services.
You represent that you have all necessary rights to submit such content.
Platform Availability
Metro InHouse strives to maintain reliable Services but does not guarantee uninterrupted availability.
The Platform may occasionally be unavailable due to:
- maintenance;
- upgrades;
- security events;
- internet outages;
- third-party service failures; or
- circumstances beyond our reasonable control.
Suspension and Termination
Metro InHouse may suspend or terminate accounts at its discretion if users:
- violate these Terms;
- engage in fraudulent activity;
- submit false documentation;
- abuse other users;
- compromise platform security;
- violate applicable law; or
- create legal or operational risks.
Users may discontinue use of the Platform at any time. Termination does not relieve obligations incurred before termination.
Fees
Unless otherwise agreed in writing, registration for the Vendor Portal is subject to the pricing and subscription plans published by Metro InHouse.
Applicable fees, if any, will be disclosed before purchase. Failure to pay applicable fees may result in suspension of Services.
Third-Party Services
The Platform may integrate with third-party providers including:
- payment processors;
- cloud hosting providers;
- email providers;
- authentication services;
- analytics providers.
Metro InHouse is not responsible for third-party products or services.
Confidentiality
Users may receive confidential business information while using the Platform.
Users agree not to disclose confidential information except:
- with authorization;
- as required by law; or
- as necessary to perform contractual obligations.
Confidentiality obligations survive termination.
Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, METRO INHOUSE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND CONTINUOUS AVAILABILITY.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, METRO INHOUSE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, LOST PROFITS, LOST REVENUE, LOSS OF BUSINESS, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING FROM THE USE OF THE SERVICES.
Our total liability shall not exceed the amount paid by the user to Metro InHouse during the twelve (12) months preceding the event giving rise to the claim.
Indemnification
You agree to defend, indemnify, and hold harmless Metro InHouse, its affiliates, officers, employees, directors, contractors, and agents from any claims, damages, liabilities, losses, costs, or expenses arising from:
- your use of the Services;
- violation of these Terms;
- violation of applicable law;
- infringement of third-party rights; or
- negligent or wrongful conduct.
Force Majeure
Metro InHouse shall not be liable for delays or failures resulting from events beyond its reasonable control, including:
- natural disasters;
- pandemics;
- labor disputes;
- acts of government;
- internet failures;
- cyberattacks;
- utility outages; or
- other force majeure events.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to conflict of law principles. Applicable federal laws of the United States shall also apply where required.
Dispute Resolution
Before initiating legal proceedings, the parties agree to attempt to resolve disputes through good-faith negotiations.
If a dispute cannot be resolved, it shall be submitted to binding arbitration in the State of Arizona under the rules of the American Arbitration Association (AAA), unless otherwise required by applicable law. Each party shall bear its own legal costs unless the arbitrator determines otherwise.
Nothing in this section prevents either party from seeking temporary injunctive relief in a court of competent jurisdiction to protect intellectual property or confidential information.
Severability
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Waiver
Failure by Metro InHouse to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
Assignment
Users may not assign or transfer their rights or obligations under these Terms without prior written consent from Metro InHouse.
Metro InHouse may assign these Terms as part of a merger, acquisition, or sale of assets.
Entire Agreement
These Terms, together with the Privacy Policy and any additional agreements expressly incorporated by reference, constitute the entire agreement between you and Metro InHouse regarding the Services and supersede all prior understandings.
Changes to These Terms
Metro InHouse reserves the right to modify these Terms at any time. Material changes will be communicated by updating the Effective Date and, where appropriate, providing notice through the Platform or by email.
Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
